When I am shuting down my PC I get the following notification in the End
Program box. "cddirectorychangewatcherhelperwin......" is still running.

I cannot see what is displayed after "win" in this message.

Any ideas what could be causing and / or what I can do to eliminate?

Looks like either spyware/malware or some type of program you use for
"watching" for when you put a CD into the tray; perhaps some CD writing
software? Do you have such a program showing in either Program Manager
or an icon down in your notification tray (next to the clock - lower right)?

I do not believe I have any spyware/malware becuase I just rebuilt and I am
running OEM software to prevent.
I have Nero 7 & Intervideo 7 running.

Try checking the "tools" menu in those two programs for anything that
would/could be left running when the computer is being closed down.
That's about all I can think of.

I have seen this type of thing before. Often the
feature/program will be a part of videocd players/creators.
I suspect that in this case, it could be the InterVideo
application. It is 'watching your DVD drive for an inserted
DVD. Try removing the program "inter video". If that does
away with the box, contact InterVideo, and tell them about
the problem. They may have an update specific to Use with
Nero 7 and IE7 (if you have it)

In 2 Timothy 3:1-7, there is a list of the qualities that
Unregenerate man will have in the last days. Is your quality
found there? If So, don't despair - Christ came to save His
people.
